These Terms of Service ("Terms") govern your access to and use of the Good Guys Probiotics website at goodguysprobiotics.com ("Site") and all products and services offered by Flore Inc. ("Flore," "we," "us," or "our") under the Good Guys Probiotics brand. By accessing our Site or purchasing our products, you agree to be bound by these Terms.

By creating an account, placing an order, or otherwise using our Site, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you agree to these Terms in their entirety. If you do not agree, you must not use our Site or services.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

2. Product Descriptions and Health Disclaimers

Important: Good Guys Probiotics products are dietary supplements. They are NOT intended to diagnose, treat, cure, or prevent any disease. Our products are NOT medical advice and are NOT a substitute for professional medical care. Always consult a qualified healthcare provider before starting any new supplement regimen, especially if you have a medical condition, are pregnant or nursing, or are taking medication.

We strive to provide accurate product descriptions on our Site. However, we do not warrant that product descriptions, images, or other content are complete, reliable, current, or error-free. Personalized probiotic formulations are developed based on the health data and microbiome information you provide; the accuracy of your formulation depends on the accuracy of the information you submit.

Our products have not been evaluated by the U.S. Food and Drug Administration (FDA). Results may vary from person to person. Individual experiences are not guaranteed and should not be interpreted as medical outcomes.

4. Billing and Pricing

Good Guys Probiotics offers personalized probiotic supplies as one-time purchases (not recurring subscriptions) for the following supply durations:

Prices are in U.S. dollars and do not include applicable taxes or shipping fees, which will be calculated at checkout. We reserve the right to change pricing at any time, with 30 days' notice for existing customers with pending orders. Promotional pricing or discounts are subject to the terms stated in the applicable offer.

Payment is collected in full at the time of purchase. All payments are processed through our third-party payment processor. We do not store your full payment card details on our servers.

5. Shipping and Delivery

We manufacture products at our facility in Joliet, IL and ship throughout the United States. Estimated delivery times are provided at checkout but are not guaranteed. Shipping delays caused by carriers, weather, or other circumstances beyond our control do not entitle you to a refund.

Risk of loss and title for products pass to you upon delivery to the carrier. You are responsible for providing an accurate shipping address. We are not liable for orders delivered to an incorrect address provided by you.

6. Returns and Satisfaction Guarantee

We offer a 30-day satisfaction guarantee on your first order. If you are not satisfied with your first order, you may request a full refund within 30 days of delivery. To initiate a return, contact support@goodguysprobiotics.com.

7. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, formulations, and the Good Guys Probiotics brand name and identity — is the property of Flore Inc. or its licensors and is protected by United States and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written consent, except for personal, non-commercial use as reasonably necessary to use our services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLORE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Flore Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or products; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content or information you provide to us.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@goodguysprobiotics.com and attempt to resolve the dispute informally for at least 30 days.

10.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Flore Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or products shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND FLORE INC. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

10.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of a small claims court may also be brought in such court.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Delaware.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The unenforceability of any provision shall not affect the enforceability of the remaining provisions.

13. Entire Agreement

These Terms, together with our Privacy Policy, Notice of Privacy Practices, Subscription & Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Flore Inc. regarding your use of the Site and products.
